Together with the Privacy Policy, these Terms of Service are a contractual Agreement between SapotaCorp and our users, so please read them carefully before accessing or using SapotaCorp. In consideration of the mutual promises contained in this Agreement, you and SapotaCorp agree as follows:
The "Agreement" refers to these Terms of Service (the "Terms"), our Privacy Policy and all other operating rules, policies and procedures that we may publish periodically on the Website.
"SapotaCorp", "we," and "us" refer to SapotaCorp (sapotacorp.vn), a software engineering company based in Đà Nẵng, Vietnam, as well as our affiliates, directors, subsidiaries, contractors, licensors, officers, agents and employees.
The "Service" refers to the Website and engineering services provided by SapotaCorp, including embedded engineering (staff augmentation) and fixed-scope project delivery.
The "Website" refers to the SapotaCorp website located at sapotacorp.vn and all content, services and products provided by SapotaCorp at or through sapotacorp.vn.
"User," "you," and "your" refer to the individual person, company, or organization that has visited or is using the Website or Service; that accesses or uses any part of the account; or that directs the use of the account in the performance of its functions. A User must be at least 13 years of age.
"Authorized Users" refer to Users and the personnel that Users authorize to access our Service.
A "Subscription" is an online order for the Service completed and submitted by you through this Website and accepted by SapotaCorp or another written agreement or purchase order for the Service accepted by both you and SapotaCorp.
The "Subscription Date" refers to the date you submit your online order through the Website or the date you accept an agreement that is ultimately accepted by both you and SapotaCorp.
SapotaCorp provides software engineering services to startups, SMEs and product companies worldwide. Our primary offering is embedded engineering — senior and mid-level engineers who join a client's team and deliver as part of the client's product team. We also run fixed-scope software projects with transparent delivery timelines. Features and functionality of our Service are as described on our Website on the Subscription Date and may change periodically. By using or accessing any part of our Service, you represent that you have the capacity and authority to enter into this Agreement and consent on behalf of yourself and/or as an authorized representative of your company to be bound by this Agreement.
To facilitate communication and understand customer needs, SapotaCorp collects personal information, including:
SapotaCorp may collect personal data from third parties with customer consent.
SapotaCorp is committed to information security through Non-Disclosure Agreements (NDAs) before project initiation.
Information is collected during discussions between SapotaCorp's Business Analyst and the customer regarding project requirements, including contact details and necessary information to formalize the contract.
Information is collected for developers to access their accounts and perform development tasks.
Data is recorded from the consultation form and user behavior when accessing SapotaCorp's website.
SapotaCorp prevents Privacy Policy violations through stringent information security processes, including NDAs, restricted access, VPN connections and software approval.
The privacy statement may be updated to modify terms or respond to customer feedback. Changes will be communicated through clear notices or direct notifications.
Under an embedded engagement, SapotaCorp assigns one or more engineers to join the client's team and work under the client's day-to-day direction. Engineers are full-time on the client's project for the agreed period. Billing is monthly based on the engineer's seniority tier. There is no minimum commitment; either party may terminate the engagement with written notice.
All embedded engagements start with a two-week trial. During the trial, the engineer works full-time in the client's sprint at no cost to the client. If at any point during the trial the client is not satisfied with the engineer's fit or performance, the client may end the engagement without charge and owes no fee, deposit or cancellation cost. An invoice is issued only after the trial ends if the engagement continues.
For fixed-scope engagements, SapotaCorp delivers an agreed scope of work within an agreed timeline and price. Payment milestones are defined in the project Statement of Work. Changes to scope, timeline or price are handled through a written change order.
All code, designs, documentation and other deliverables produced under an engagement are assigned to the client upon payment of the applicable fees, subject to any pre-existing third-party components (which remain governed by their respective licences). SapotaCorp retains the right to reuse general know-how, skills and experience gained during the engagement.
SapotaCorp reserves the right to modify the terms of this Agreement and any such modifications will be communicated to you in advance. Your continued use of the Service after the effective date of any modifications indicates your acceptance of the modified terms.
SapotaCorp provides software engineering services including platform implementation (Salesforce, Microsoft Power Platform, Shopify), internal tools and automation (Retool, Power Automate), AI integration and agent development (Dify, LLM integrations), custom software development, data engineering and QA/testing services. Services are delivered either as embedded engineers or as fixed-scope projects.
These terms and conditions are governed by the laws of Vietnam. Any dispute arising out of or in connection with this Agreement shall be resolved through good-faith negotiation and, failing that, through the competent courts of Vietnam unless otherwise agreed in writing.
To the maximum extent permitted by law, SapotaCorp's aggregate liability under any engagement is limited to the fees actually paid by the client for the engagement in the three months preceding the claim. SapotaCorp is not liable for indirect, incidental or consequential damages.
